These Terms and Conditions (the “Terms”) govern the use of this website and any transactions between Diragan Ltd (“the Company”, “we”, “us”, “our”), our suppliers, and our customers (“you”, “your”).
By accessing this website and/or placing an order, you agree to be bound by these Terms. Your statutory consumer rights under UK law remain unaffected.
1. About Diragan Ltd
Diragan Ltd is a UK-registered company operating as a wholesale distributor and e-commerce seller.
We act as an intermediary between suppliers and customers while retaining responsibility for order fulfilment where applicable.
2. Orders and Acceptance
2.1 All orders are subject to acceptance by Diragan Ltd.
2.2 We reserve the right to refuse or cancel any order at our discretion, including but not limited to:
Pricing errors
Stock unavailability
Suspected fraud
2.3 Once an order is accepted, a confirmation email will be sent to the email provided at checkout.
2.4 Customers may request order amendments or cancellations, but these are only valid if approved by Diragan Ltd and may incur costs.
3. Pricing and Payment
3.1 We accept:
Bank transfer
Debit cards
Credit cards
3.2 Notes:
Bank transfer funds must clear before goods are released.
We do not accept UK cheques, international cheques, or unsupported card types.
Prices may change without notice but confirmed orders are unaffected.
For account or credit customers, late payments may incur interest at 2% per month or the maximum allowed by UK law.
4. Wholesale & Supply Terms
4.1 Role of Diragan Ltd
Diragan Ltd operates as a wholesale trading company.
All contracts of sale are between Diragan Ltd and the customer, regardless of whether goods are stored, collected, or dispatched by a supplier or third-party logistics provider.
4.2 Minimum Order Value
A minimum order value may apply, typically £50, unless otherwise agreed in writing.
4.3 Pricing and Availability
All orders are subject to availability.
Diragan Ltd reserves the right to decline or cancel orders if goods become unavailable or pricing errors occur. Payments will be refunded in full if orders are cancelled.
4.4 VAT and Export Documentation
For VAT-exempt exports, customers must ensure collection and shipment via a reputable freight forwarder.
Valid export documentation must be provided upon request, including:
Collection note
Bill of lading, airway bill, or shipment certificate
Failure to provide correct documentation may result in VAT being charged or order delays/cancellations.
4.5 Collection of Goods
Goods must be collected within 14 days of notification, unless otherwise agreed.
Uncollected goods may be cancelled, and any payments refunded less reasonable costs incurred.
4.6 Payment Terms
Full payment must be received and cleared before goods are released, dispatched, or authorised for collection by any courier or freight agent.
5. Risk, Ownership & Liability
5.1 Risk in the Goods
Risk passes to the customer upon delivery to the nominated address or collection by the customer or their courier, whichever occurs first.
The customer is responsible for the goods from that point, including loss, damage, or delay.
5.2 Retention of Title
Legal ownership remains with Diragan Ltd until full payment is received and cleared.
5.3 Third-Party Fulfilment
Goods dispatched directly from a supplier act solely as fulfilment agents.
This does not affect the contractual relationship between Diragan Ltd and the customer.
6. Damaged, Faulty, or Incorrect Goods
Customers must notify Diragan Ltd within 48 hours of delivery with photographic evidence.
We will assess and provide a fair resolution, which may include replacement, full refund, or partial refund.
Diragan Ltd reserves the right to request additional information from couriers if damage occurred during transit.
7. Returns Policy (Wholesale & Trade Customers)
Wholesale customers may not return goods unless agreed in writing or if faulty/damaged.
Certain items (custom, perishable, clearance, or broken-seal products) are non-returnable.
If returns are accepted, a restocking fee may apply at Diragan Ltd’s discretion.
Customers are responsible for return shipping costs unless the item is faulty or incorrect.
We recommend using a tracked delivery service; Diragan Ltd is not responsible for goods lost in transit.
8. Limitation of Liability
Diragan Ltd shall not be liable for:
Indirect or consequential losses
Loss of profit, revenue, or business
Delays caused by third-party couriers
Events beyond our reasonable control (see Force Majeure)
Our total liability shall not exceed the value of the goods purchased.
9. Force Majeure
Diragan Ltd is not liable for any failure or delay in performing its obligations caused by circumstances beyond reasonable control, including but not limited to:
Strikes, lockouts, or labour disputes
Acts of God, fire, flood, or extreme weather
Supply chain or transport disruptions
Pandemics, government actions, or other emergencies
10. Intellectual Property & Resale
All trademarks, images, or branding remain the property of the manufacturer or Diragan Ltd.
Customers must not use branding, images, or marketing materials without permission.
Resale restrictions may apply where agreed with suppliers or manufacturers.
11. Indemnity
Customers agree to indemnify, defend, and hold Diragan Ltd harmless from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from or in connection with:
Misuse, mishandling, or negligent use of the goods by the customer or anyone acting on their behalf
Breach of these Terms, including non-payment, unauthorised resale, or failure to comply with applicable laws
Violation of UK law or regulatory requirements by the customer
Any claim brought by a third party arising from the customer’s actions or omissions
This indemnity does not transfer liability for Diragan Ltd’s own negligence or breach.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the courts of England and Wales.
Parties may attempt to resolve disputes amicably via mediation before legal proceedings.
13. Privacy & Data Protection
Personal data collected (e.g., name, address, email, payment info) is handled in accordance with UK GDPR.
Data is used solely for order processing, delivery, and communication regarding Diragan Ltd services.
